1. SPONSOR AND PROMOTIONAL PARTNER
The Bizee x UpFlip Creator Kit Giveaway (the “Promotion”) is sponsored by IncFile.com, LLC, a limited liability company with its principal place of business at 17350 State Highway 249, Suite 220, Houston, TX 77064 (“Sponsor”). UpFlip, LLC, a Washington limited liability company with a principal office at 5538 Clearview Drive, Ferndale, WA 98248, is a promotional partner. Sponsor is responsible for administration, winner verification, and prize fulfillment unless otherwise stated in these Official Rules.
2. ELIGIBILITY
The Promotion is open only to legal residents of the fifty United States and the District of Columbia who are 18 years of age or older and the age of majority in their state or district of residence at the time of entry. The Promotion is void in Puerto Rico, U.S. territories and possessions, outside the United States, and where prohibited or restricted by law. Employees, officers, directors, owners, members, managers, contractors, agents, and representatives of Sponsor, UpFlip, Creators Agency, any Promotion administrator, Meta Platforms, Inc., Instagram, prize suppliers, advertising or promotion agencies, and each of their respective parent companies, affiliates, subsidiaries, successors, and assigns, as well as their immediate family members and persons living in the same household, are not eligible to enter or win. “Immediate family” means spouse, domestic partner, parent, child, sibling, grandparent, grandchild, and each of their respective spouses, regardless of where they reside.
3. PROMOTION PERIOD
The Promotion begins on June 1, 2026 at 12:00 AM Central Time and ends on June 15, 2026 at 11:59 PM Central Time (“Promotion Period”). Sponsor’s computer or designated platform records are the official timekeeping device for the Promotion.
4. HOW TO ENTER
There are two ways to receive a primary entry during the Promotion Period, and two ways to receive one optional bonus entry. Each eligible entry has an equal chance of winning. Limit two entries per person total: one primary entry and one bonus entry. The Instagram Story bonus-entry method has a free email alternative.
Primary Instagram Entry Method: To receive one primary entry, visit the official giveaway post on Instagram and complete all of the following during the Promotion Period:
- Follow @Bizee and @Upflip on Instagram.
- Like the official giveaway post.
- Leave one comment on the official giveaway post tagging two Instagram users.
Optional Bonus Story Entry: After submitting a primary entry, an entrant may receive one additional bonus entry by sharing the official giveaway post to their Instagram Story during the Promotion Period, tagging @bizee, and making clear in the Story that the share is connected to the Bizee x UpFlip Giveaway. The Story must be visible to Sponsor long enough to verify it, or the entrant must send Sponsor a screenshot showing the Story, @bizee tag, posting account, and date/time during the Promotion Period. Bonus Story Entries are optional and limited to one per person.
Do not tag fake accounts, inactive accounts, celebrity accounts, brand accounts, or people who you do not believe would want to be tagged. Do not make false, misleading, or deceptive statements in any Story or post submitted in connection with the Promotion. Sponsor is not responsible for private-account settings, expired Stories, missing mentions, or other platform limitations that prevent verification of a bonus entry. Entrants must comply with Instagram’s terms and community guidelines. Instagram accounts used to enter must be legitimate and controlled by the entrant.
Alternative Method of Entry: To receive one primary entry without using Instagram, send an email to apple@creatorsagency.co during the Promotion Period with the subject line “Bizee UpFlip Creator Kit Giveaway Entry” and include your full legal name, state of residence, email address, and confirmation that you meet the eligibility requirements in these Official Rules. To receive one bonus entry without sharing an Instagram Story, send a separate email during the Promotion Period with the subject line “Bizee UpFlip Creator Kit Giveaway Bonus Entry” and include the same information. Email entries must be received during the Promotion Period.
Limit two entries per person during the Promotion Period, regardless of method of entry: one primary entry and one bonus entry. Additional comments, Stories, shares, tags, screenshots, or emails do not result in additional entries. Use of multiple Instagram accounts, automated entries, bot-generated entries, bulk entries, entries submitted by third parties, or entries generated by script, macro, or other automated means are prohibited and may result in disqualification. In the event of a dispute regarding the identity of an entrant, the entry will be deemed submitted by the authorized account holder of the email address or Instagram account used to enter, as determined by Sponsor in its sole discretion.
5. PRIZE
One winner will receive one Premium Creator Kit consisting of the following items: one DJI Osmo Pocket 3 camera, one DJI Mic Mini wireless lavalier microphone, one Aputure MC Pro RGBWW LED light, one Joby GorillaPod GO tripod, one DJI Osmo Pocket 3 extra battery and charging dock, one ND filter kit, one SanDisk 1TB portable SSD, one SanDisk Extreme 128GB microSD 2-pack, one Elgato Key Light Mini, one Anker Prime Power Bank, and one ULANZI BP10 35L hardshell camera backpack. The total approximate retail value (“ARV”) of the prize is $1,500.
Prize details are subject to availability. Sponsor may substitute any prize or prize component with a prize or component of equal or greater value if the advertised prize or component becomes unavailable for any reason. No cash redemption, assignment, or transfer of the prize is permitted, except at Sponsor’s discretion. Any difference between the stated ARV and the actual value of the prize will not be awarded. Prize is awarded “as is” without warranty of any kind, express or implied, except any manufacturer warranty that may apply. Prize manufacturers and retailers are not sponsors of, and are not affiliated with, the Promotion unless expressly stated.
6. WINNER SELECTION AND ODDS
One potential winner will be selected in a random drawing from all eligible entries received during the Promotion Period. The drawing will occur on or around June 16, 2026. Odds of winning depend on the total number of eligible entries received. Sponsor’s decisions regarding eligibility, winner selection, and all Promotion-related matters are final and binding.
7. WINNER NOTIFICATION AND VERIFICATION
The potential winner will be notified by Instagram direct message, email, or another method reasonably selected by Sponsor within approximately 48 hours after the drawing. The potential winner must respond within 72 hours after Sponsor’s first notification attempt. Sponsor may require the potential winner to provide proof of identity, age, residency, eligibility, a valid U.S. shipping address, an affidavit or declaration of eligibility, a liability and publicity release, an IRS Form W-9, and any other documentation reasonably required to award the prize.
If the potential winner cannot be contacted, does not respond within the required time, is found to be ineligible, fails to provide required documentation, fails to comply with these Official Rules, declines the prize, or if the prize or prize notification is returned as undeliverable, the potential winner may be disqualified and an alternate winner may be selected by random drawing from the remaining eligible entries. Sponsor is not obligated to select more than one alternate winner, but may do so at its discretion.
8. TAXES
The winner is solely responsible for all applicable federal, state, and local taxes, fees, and any other costs or expenses associated with accepting, receiving, possessing, or using the prize that are not expressly stated as included in these Official Rules. Sponsor may require the winner to complete and return an IRS Form W-9 before awarding the prize and may issue an IRS Form 1099-MISC or other required tax documentation for the ARV of the prize if required by applicable law.
9. GENERAL CONDITIONS
By entering, each entrant agrees to be bound by these Official Rules and Sponsor’s decisions, which are final and binding. Sponsor reserves the right to disqualify any entrant or entry that Sponsor determines, in its sole discretion, violates these Official Rules, violates Instagram’s terms or community guidelines, tampers with the entry process, acts in an unsportsmanlike or disruptive manner, submits false information, uses automated or fraudulent entry methods, or attempts to undermine the legitimate operation of the Promotion.
Sponsor reserves the right to cancel, suspend, or modify the Promotion if fraud, technical failures, unauthorized human intervention, platform errors, security issues, force majeure events, legal or regulatory concerns, or any other factor beyond Sponsor’s reasonable control impairs or could impair the integrity, fairness, security, or proper operation of the Promotion. If the Promotion is cancelled, Sponsor may, in its discretion, select a winner by random drawing from among all eligible, non-suspect entries received before cancellation.
10. RELEASE AND LIMITATION OF LIABILITY
By entering, each entrant agrees to release, discharge, and hold harmless Sponsor, UpFlip, Creators Agency, any Promotion administrator, Meta Platforms, Inc., Instagram, prize suppliers, advertising and promotion agencies, and each of their respective parent companies, affiliates, subsidiaries, successors, assigns, officers, directors, owners, members, managers, employees, contractors, agents, and representatives (collectively, the “Released Parties”) from and against any and all claims, demands, damages, losses, liabilities, costs, expenses, injuries, or causes of action arising out of or relating to participation in the Promotion, submission of an entry, acceptance or use of the prize, delivery or non-delivery of the prize, technical failures, unauthorized human intervention, or any Promotion-related activity.
Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, delayed, undelivered, damaged, garbled, or non-compliant entries; technical, hardware, software, network, internet, platform, or human errors; unavailable or interrupted internet service; Instagram outages or restrictions; unauthorized access to entries; or any injury or damage to any person’s device related to participation in the Promotion.
11. PUBLICITY
Except where prohibited by law, entry into the Promotion and acceptance of the prize constitutes permission for Sponsor, UpFlip, and their designees to use the winner’s name, Instagram handle, likeness, city and state of residence, prize information, and any statements made by the winner about the Promotion for advertising, marketing, publicity, and promotional purposes in any media, worldwide, without additional notice, review, approval, payment, or compensation.
12. PRIVACY
Information collected from entrants and the winner will be used to administer the Promotion, verify eligibility, contact the potential winner, award and ship the prize, comply with legal and tax obligations, prevent fraud, and as otherwise described in Sponsor’s privacy policy located at https://bizee.com/privacy-policy. Sponsor may share entrant or winner information with vendors and service providers as reasonably necessary to administer and fulfill the Promotion, including shipping providers, tax/accounting providers, legal advisors, and Promotion administrators. Personal information will not be sold or used for unrelated marketing without consent.
13. INSTAGRAM DISCLAIMER
This Promotion is in no way sponsored, endorsed, administered by, or associated with Instagram or Meta Platforms, Inc. By entering, each entrant agrees to release Instagram and Meta Platforms, Inc. from any and all liability arising out of or relating to the Promotion. Entrants understand that they are providing information to Sponsor and not to Instagram or Meta Platforms, Inc.
14. GOVERNING LAW AND DISPUTES
Except where prohibited by law, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of any entrant, winner, Sponsor, or Released Party in connection with the Promotion, will be governed by the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules. Any dispute arising out of or relating to the Promotion must be resolved individually and not as part of any class, consolidated, or representative action, to the extent permitted by law. Venue for any permitted court proceeding will be in Harris County, Texas, unless otherwise required by law.
15. WINNER LIST
To request the winner’s name, send an email to apple@creatorsagency.co with the subject line “Bizee UpFlip Creator Kit Giveaway Winner List” within 60 days after the end of the Promotion Period.
16. REQUIRED INSTAGRAM CAPTION DISCLOSURE
The Instagram giveaway caption should include the following clear disclosure before the “more” cutoff where reasonably possible:
